Terms of Use

1. Acceptance

By accessing or using kompa.ai (the “Website”) or any service provided by KOMPA TECHNOLOGY COMPANY LIMITED (“Kompa”, “we”, “us”), you confirm that you have read, understood and agreed to be bound by these Terms of Use, together with our Privacy Policy.

If you do not agree to any part of these Terms, please stop using the Website and services.

2. Definitions

• “Website”: the kompa.ai web property and any subdomains owned by Kompa.
• “Services”: products, analytics tools, social listening, consultancy and content provided by Kompa via the Website or under separate contract.
• “User” / “you”: an individual or organization accessing the Website or using the Services.
• “Content”: text, images, video, charts, data, source code, reports, ebooks and any other materials available through the Website or Services.
• “Service Agreement”: the separate agreement between Kompa and a customer, including annexes, order forms and SLAs.

3. Scope of services

The Website provides information about Kompa's social listening, brand analytics and related solutions. Interactive features include: booking a demo, downloading materials, submitting consultation requests and reading knowledge content.

Kompa's paid Services (e.g. analytics platform, in-depth reports, advisory services) are governed by separate Service Agreements. In the event of a conflict between these Terms and a Service Agreement, the Service Agreement prevails for the relevant Service.

4. Registration and accounts

Most of the Website does not require an account. When you submit information via a form, you confirm that the information you provide is accurate, complete and current. For features that do require an account (e.g. the CMS), you are responsible for:

• Keeping your credentials secure;
• Not sharing the account with unauthorized third parties;
• Notifying Kompa promptly of any unauthorized access.

5. Intellectual property

All Content on the Website — including UI design, source code, text, images, charts, video, reports, ebooks, the “Kompa” trademark and logo — is owned by Kompa or its licensors and is protected by Vietnamese law and international treaties on intellectual property.

You are granted a limited, non-exclusive, non-transferable license to access and use the Website for personal, non-commercial purposes. Any reproduction, distribution, modification, publication, translation or creation of derivative works from the Content without Kompa's prior written consent is prohibited.

For free reports and ebooks, you may use the materials internally within your organization and share them for educational/academic purposes provided you credit Kompa as the source and do not alter the original content.

6. User rights and obligations

When using the Website and Services, you:

• May access, read and interact with publicly available Content;
• Agree to use the Website lawfully and in line with Vietnamese law and public morals;
• Are responsible for the accuracy of the information you provide;
• Are responsible for your device, internet connection and any costs incurred when accessing the Website.

7. Prohibited conduct

You must not, and must not assist any third party to:

• Access the Website without authorization, scan for vulnerabilities, or bypass security controls;
• Carry out denial-of-service (DoS/DDoS) attacks, distribute malware, viruses or ransomware;
• Collect other users' information through unauthorized means (scraping, phishing);
• Reproduce, archive or republish Kompa Content for commercial purposes without written consent;
• Post, transmit or link to content that violates the law, infringes third-party rights, defames, incites violence or discrimination;
• Impersonate Kompa, Kompa employees or any third party;
• Use the Website or Services to send spam or unauthorized advertising;
• Interfere with, disrupt or damage normal operation of the Website.

Violations may be acted on under Section 13 (Suspension and termination) and/or referred to authorities under applicable law.

8. User-submitted content

When you submit information to us (via forms, email or other channels) — including questions, feedback or suggestions — you confirm you have full rights to submit such content and grant Kompa a non-exclusive, royalty-free, worldwide, perpetual license to use it for the purpose of improving the Services, provided Kompa handles personal data in accordance with the Privacy Policy.

Do not submit confidential information you do not have the right to disclose. Kompa is not obligated to keep voluntary submissions through public channels (e.g. general contact forms) confidential.

9. Third-party links

The Website may contain links to third-party sites (e.g. social networks, integration providers). Kompa is not responsible for the content, policies or practices of those sites. You access third-party links voluntarily and at your own risk.

10. Disclaimer

The Website and any free information, reports and ebooks are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Kompa makes no warranties, express or implied, regarding:

• The accuracy, completeness or currency of the Content;
• Fitness for any specific purpose you may have;
• That the Website will operate continuously, uninterrupted or error-free;
• That the Website is free of viruses or other harmful components.

Reports, ebooks and analytical content published on the Website are for reference only and do not constitute formal legal, financial or investment advice.

11. Limitation of liability

To the maximum extent permitted by law, Kompa and its affiliates (officers, employees, agents, partners) are not liable for any indirect, incidental, special, consequential or punitive damages arising from:

• Your use or inability to use the Website;
• Third-party conduct on the Website;
• Any Content lost, accessed without authorization, or altered;
• Technical issues, errors, interruptions or security incidents.

Kompa's total liability for claims relating to the Website (outside the scope of a Service Agreement) shall not exceed VND 1,000,000 or the amount you have paid Kompa in the past 12 months, whichever is greater.

12. Indemnification

You agree to indemnify, defend and hold Kompa harmless from any claims, losses, liabilities and costs (including reasonable legal fees) arising out of: (i) your breach of these Terms; (ii) your violation of law or third-party rights; or (iii) content you submit to Kompa.

13. Suspension and termination

Kompa may suspend or terminate your access to the Website immediately and without prior notice if you breach these Terms or if continued access could cause harm to Kompa or other users.

Sections covering intellectual property, limitation of liability, indemnification and governing law survive termination of your relationship with Kompa.

14. Governing law and disputes

These Terms are governed by and interpreted under the laws of Vietnam, without reference to conflict-of-law rules.

Any dispute will first be addressed through good-faith negotiation. If the parties cannot reach agreement within 60 days of the dispute arising, the matter will be referred to the competent court in Ho Chi Minh City, Vietnam.

15. Changes

Kompa may amend these Terms from time to time. Updated versions will be published on the Website with a new effective date. Continued use after the new effective date constitutes acceptance of the updated version.

16. General provisions

• Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
• No waiver: Kompa's failure to enforce a right does not constitute a waiver of that right.
• Assignment: You may not assign rights or obligations under these Terms without Kompa's written consent. Kompa may assign to a parent, subsidiary, affiliate or successor entity.
• Force majeure: Kompa is not liable for failure to perform obligations due to events of force majeure beyond reasonable control.
